Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your") and ZootPay ("ZootPay", "we", "us", "our") governing your use of the website zootpay.net, the ZootPay mobile app, and any related APIs (together, the "Service").
By creating an account, signing in, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our AML/KYC Policy. If you do not agree, do not use the Service.
1. Who can use ZootPay
- You must be at least 18 years old.
- You must have the legal capacity to enter a binding contract in your jurisdiction.
- You must not be a resident of, or located in, any country subject to comprehensive economic sanctions by the United Nations, the United States, the European Union, or the United Kingdom (currently including North Korea, Iran, Syria, Cuba, and the non-government-held regions of Ukraine).
- You must not appear on any applicable sanctions list (OFAC SDN, UN Security Council Consolidated List, EU Consolidated List, HM Treasury Consolidated List).
- You must provide accurate information and keep it up to date. Giving false information is grounds for immediate account closure and may be reported to authorities.
2. What ZootPay does
ZootPay lets you:
- Buy supported cryptocurrencies with Haitian Gourdes via MonCash (and, when available, NatCash).
- Sell supported cryptocurrencies for Haitian Gourdes credited to your MonCash wallet.
- Store balances in your ZootPay wallet. We hold the underlying assets on your behalf in custody.
- Withdraw crypto to an external blockchain address you control.
- Send crypto peer-to-peer to other ZootPay users, instantly and without on-chain fees.
Supported assets today: USDT, USDC, ETH, BTC, SOL, and selected Solana memecoins such as BONK and WIF. The list of supported assets may change without notice.
3. Custody & your wallet
Balances displayed in your ZootPay wallet represent amounts we hold in custody for you. We pool customer assets with other users in shared on-chain wallets ("hot wallets") and record your individual balance off-chain in our database. We maintain reserves intended to fully back all user balances at all times and monitor this ratio via our treasury dashboard.
ZootPay is not a bank. Your balance is not a bank deposit and is not insured by any deposit-insurance scheme. In the event of our insolvency, customer assets may be at risk depending on how courts characterise them in the applicable jurisdiction.
4. Fees, quotes, and spread
When you request a buy or sell quote, we display the total amount you will pay or receive, including any spread we charge and network fees for withdrawals. Quotes are valid for a short window (typically 30 seconds) and expire automatically. We reserve the right to decline any transaction, including after a quote has been issued, if market conditions change significantly or if we suspect fraud.
P2P transfers between ZootPay users are free. On-chain withdrawals incur the network's miner/validator fee plus a small service fee, both disclosed before you confirm.
5. Identity verification (KYC)
ZootPay applies tiered KYC as described in our AML/KYC Policy. By using the Service you consent to identity checks when we determine them to be necessary. If you do not complete requested checks, we may freeze or limit your account.
6. Your responsibilities
- Keep your phone number, login device, and biometric credentials secure. Anyone with access to your phone number and SIM can potentially access your ZootPay account.
- Double-check every withdrawal address. Crypto transactions are irreversible; sending to a wrong address means your funds are lost.
- Do not attempt to deposit funds to addresses on the wrong network (e.g. sending USDT-ERC20 to a USDT-TRC20 address). Such funds may be permanently lost.
- Do not use the Service to commit fraud, launder money, evade taxes, finance terrorism, or violate any law.
- Do not attempt to reverse-engineer, decompile, scrape, or abuse our APIs or rate limits.
7. Prohibited activities
You may not use ZootPay to:
- Receive, send, or convert funds derived from illegal activity
- Engage in gambling in jurisdictions where it is illegal
- Buy or sell on behalf of a third party without first disclosing that arrangement to us
- Create multiple accounts to circumvent limits, fees, or compliance checks
- Impersonate another person or entity
- Attempt to manipulate prices, exploit quote-latency, or deliberately disrupt the Service
8. Crypto risks — please read carefully
Cryptocurrency is volatile, high-risk, and not reversible. You could lose some or all of what you put in. Specifically:
- Price volatility. Crypto prices can swing 10%+ in a single hour. USDT and USDC aim to stay near $1 but have briefly lost that peg in the past.
- Irreversibility. Once an on-chain transaction is confirmed, it cannot be reversed by us or anyone else. Always verify recipient addresses.
- Memecoin risk. Assets like BONK and WIF have no underlying business, no cash flow, and can lose most of their value quickly. We list them for convenience — listing is not an endorsement.
- Regulatory risk. Crypto regulation in Haiti and elsewhere is evolving. A new law could require us to restrict services on short notice.
- Smart-contract and protocol risk. Bugs, governance actions, or exploits in the networks we interact with (Ethereum, Solana, Bitcoin) could cause loss of funds.
9. MonCash & NatCash
MonCash is operated by Digicel Haiti. NatCash is operated by Unitransfer. ZootPay is not affiliated with either company. Your relationship with MonCash / NatCash is governed by their own terms, which you accept when you authorise a payment. We are not responsible for MonCash or NatCash downtime, failed payments, or their fee changes.
10. Suspension and termination
We may suspend or close your account, with or without notice, if:
- We reasonably believe you breached these Terms or applicable law
- We are required to do so by a regulator or court order
- We cannot verify your identity after requesting documents
- Your account shows signs of compromise, fraud, or suspicious activity
You can close your account at any time from your profile or by emailing support@zootpay.net. On closure we will let you withdraw any remaining balance, subject to AML and sanctions checks.
11. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.
We do not guarantee that the Service will be uninterrupted, error-free, or free of security vulnerabilities. We do not provide investment, tax, or legal advice. You are solely responsible for determining the suitability and legality of any transaction for you.
12. Limitation of liability
To the maximum extent permitted by law, ZootPay and its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for loss of profits, revenue, data, or opportunity, arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you paid to ZootPay in the 12 months preceding the claim, or (b) US$100.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so parts of this section may not apply to you.
13. Indemnification
You agree to indemnify and hold ZootPay harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of any third party.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Haiti, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved first by good-faith negotiation. If negotiation fails, the dispute will be submitted to the exclusive jurisdiction of the competent courts of Port-au-Prince, Haiti, unless mandatory consumer-protection law in your country provides otherwise.
15. Changes to these Terms
We may update these Terms to reflect changes in the Service, the law, or our business. When we make material changes we will notify you by email, in-app notice, or push notification at least 14 days before the change takes effect. If you do not agree to the new Terms, you must stop using the Service. Continuing to use it after the effective date constitutes acceptance of the new Terms.
16. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and AML Policy, constitute the entire agreement between you and ZootPay regarding the Service.
- Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to a successor entity.
- Force majeure. We are not liable for failures caused by events beyond our reasonable control, including natural disasters, war, internet outages, third-party provider failures, or regulatory action.
